Alestis Aerospace is a Tier1 supplier of aircraft structures, a leader in engineering and in technologies for composite materials manufacturing. Alestis is thus the ideal partner for taking over full responsibility for the engineering projects, the design, development, manufacturing, and product support of complex aircraft structures. –Among others, ALESTIS is a supplier of aircraft structures for Airbus (both civil and military). In the case of Airbus-Civil, it supplies parts and components for, among others, the A380, A330, A320 and A350 aircrafts. Among the programs for Airbus Military are those regarding the CN235/C295 and A400M.
INFORMATION ABOUT ALESTIS AEROSPACE
On December 5th, 2014 the Council of Ministers resolved to authorize the Spanish state-owned industrial holding company Sociedad Estatal de Participaciones Industriales (SEPI) to subscribe shares in the social capital of ALESTIS Aerospace, for the amount of 13.5 M€, within the framework of the company’s shareholding reorganization, which included an “accordion operation” reduction and later an increase of the social capital.
Thus, SEPI received the authorization for concluding the actions envisaged in the agreement between AIRBUS and SEPI stipulating the terms and conditions for the entry of the state-owned holding into the shareholding, the structure and the working of the governing bodies of ALESTIS Aerospace, as well as the obligations which AIRBUS took over for making that possible, with the final goal of guaranteeing the company’s feasibility and future.
SEPI concluded at the beginning of February 2015 the bailout operation of ALESTIS Aerospace, after subscribing and disbursing a capital increase, through the contribution of 13.5 M€ in cash, and obtaining 24.05% of the shares in the Company’s social capital.
Thanks to this operation it guaranteed the Company’s feasibility and future, besides the preservation of the 1,600 jobs which at that time had the Company.
Once all the operations had been concluded, the social capital of ALESTIS Aerospace amounted to 56.1 M€, and its shareholders are AIRBUS, which has 61.91% of the capital, SEPI with 24,05%, and UNICAJA with the remaining 14,04%.
ALESTIS Aerospace’s Board of Directors ended up being made up by seven Directors, of which AIRBUS appoints four, SEPI two, and the remaining one is appointed by UNICAJA.
According to the agreements reached, AIRBUS would have the operating control of ALESTIS, in order to guarantee the implementation of its Feasibility and Reorganization Plan. For its part, SEPI would be engaged in the Company’s management and governance, getting into its Board of Directors and into the other committees.
